Governance
Model 231
D.lgs 231/2001 (Legislative Decree No. 231 of 2001) is an Italian law that introduced corporate criminal liability for certain crimes committed by companies or other entities. Under this law, organizations can be held legally responsible for crimes committed by individuals (e.g., employees or executives) acting in the interest or benefit of the organization.
By adopting and implementing the Model 231, companies can reduce the risk of criminal liability, demonstrating that they have taken proactive steps to prevent unlawful actions within the organization.
Key Points of D.lgs 231/2001:
- Corporate Liability: Before this decree, only individuals could be held criminally liable. D.lgs 231/2001 extends liability to organizations for specific criminal actions carried out by their representatives.

- Corporate crimes (e.g., false financial statements).

- Organizational Model (Model 231): To mitigate or avoid liability, organizations can adopt a compliance program known as the “Organizational, Management, and Control Model” (Modello di Organizzazione, Gestione e Controllo). This model includes procedures and internal controls to prevent crimes, identify risks, and ensure legal compliance.
- Supervisory Body (Organismo di Vigilanza): Companies must establish a Supervisory Body responsible for overseeing the effectiveness and enforcement of the organizational model.
- Sanctions: If an organization is found liable under D.lgs 231, it may face severe penalties, including:
-
- Fines.
- Disqualification from contracts or business activities.
